Terms & Conditions of Sale

These Terms & Conditions of Sale (“Terms”) set out the conditions under which Celeris products are sold to customers through our official channels.

1.

WHO YOU ARE BUYING FROM

1.1 Merchant of Record (your Seller)
Celeris operates through a dual sales structure:
In certain countries, Celeris works with an Official Representative (a legally independent entity). Where an Official Representative exists for your country/region, that Official Representative is the Seller (merchant of record). They manage the sales process, issue the invoice, and are responsible for shipping, returns/exchanges, and local after-sales handling under their own terms.
In countries where Celeris has no Official Representative, orders are handled directly by Celeris International Sales and the Seller is Aprender & Melhorar Unipessoal Lda (details in clause 2).
Important: Your Seller is always identified at the point of sale (checkout / order confirmation / invoice). Your purchase contract is with that Seller.

1.2 Territory, official channels, and service recognition
To protect the accuracy of fittings, service standards, and aftercare, Celeris recognises sales only when made through Celeris International Sales (where applicable) or through an authorised Celeris channel in your country/region (Official Representative and/or authorised sales partners under that representative’s supervision).
If you attempt to purchase, request fitting support, or seek warranty/aftercare through a channel that is not authorised for your country/region, Celeris may be unable to support the request and may decline to provide brand-recognised warranty or aftercare.

1.3 Current Official Representative markets
As of the date above, Celeris has Official Representatives operating in: Spain, France, Germany, the United Kingdom, Austria, Denmark, Taiwan, the United States, and Canada.
This list may change. The most up-to-date information is always shown on our official channels (including the Fitting Locations section of our website).

Celeris is a Portuguese brand. Our International Sales Department operates from Portugal. Our working languages are Portuguese (Portugal) and international English. Opening hours may vary during Portuguese public holidays and seasonal closures.

2.2 How we may contact you
We will contact you using the email address and/or telephone number you provide with your order.

3.

PRODUCTS, PRESENTATION, AND CRAFTSMANSHIP NOTES

3.1 Product information
We take care to present our products accurately. However, natural materials (leathers, finishes, colours and textures) may show slight variations. Product images are illustrative and may display differences due to screen settings and lighting.

3.2 Bespoke and custom-made products
“Bespoke / Custom-made” refers to any product made to your measurements and/or specifications, or otherwise clearly personalised for you (including made-to-order build configurations). These products are produced specifically for the individual client.

3.3 Materials guidance
Celeris provides guidance on recommended materials, placements, and care. Where a customer requests a non-recommended choice for a given area, Celeris may proceed only with acknowledgement that expected longevity and performance may be affected and may impact warranty outcomes.

4.

ORDERING AND CONTRACT FORMATION

4.1 Eligibility and intended use
Purchases are intended for end consumers. We may refuse orders that appear intended for resale or commercial distribution.
You must be 18 years or older to place an order.

4.2 How an order becomes a contract
Your order becomes binding when:
we confirm acceptance in writing (email), and/or
in the case of bespoke/custom products, when the required deposit is paid and the order is confirmed for production.

4.3 Bespoke deposits and payment structure
For Bespoke / Custom-made orders, the Seller may require a minimum 50% deposit to confirm production. The remaining balance is typically due once the product is completed and ready for dispatch, as confirmed by your advisor.

4.4 Right to refuse or cancel an order
We may refuse or cancel an order where reasonably necessary, including (without limitation):
suspected fraud or misuse of payment methods,
abusive or improper conduct towards our staff or representatives,
pricing or product description errors,
stock unavailability (Ready-to-Wear or accessories),
operational impossibility to deliver to the provided address.
If payment has been taken and the order is cancelled by the Seller before fulfilment, the Seller will refund the amounts paid in line with applicable law and payment processing timelines.

5.

MEASUREMENTS, FITTINGS, AND RESPONSIBILITY

5.1 Accuracy of measurements
Bespoke products rely on precise measurements. Measurements must be taken exactly as instructed — not tighter, not looser.

5.2 Who is responsible for measurements
If measurements are taken by Celeris International Sales or an Official Representative / authorised fitter, that party is responsible for the accuracy of the measuring procedure.
If measurements are taken independently by the customer without our guidance, the Seller may be unable to accept fit claims or adjustment requests on that basis.

5.3 Changes after measuring
If your body measurements change after measuring and before production, contact the Seller immediately. We will advise whether updates can be accommodated.

6.

PRICES, CURRENCY, VAT, DUTIES

6.1 Currency
Depending on your destination market, prices may be presented and charged in EUR or USD, as determined by the Seller.

6.2 VAT and taxes
For orders sold directly by Celeris International Sales:
Within the EU: displayed prices include applicable VAT unless stated otherwise.
Outside the EU: VAT may not apply at checkout. Import duties, local taxes, and customs fees (if applicable) are the customer’s responsibility and are paid to local authorities/carriers upon import.

6.3 Pricing errors
If an obvious pricing error occurs, the Seller may cancel the order and refund any amounts paid.

7.

PAYMENT METHODS

We support multiple payment methods depending on the destination market and the Seller’s available payment infrastructure. Available options are displayed during checkout or confirmed by your advisor.

8.

DELIVERY, SHIPPING, AND INSPECTION

8.1 Shipping partners
Depending on destination, we may ship using DHL, UPS, Chronopost, or Correos Express (Portugal & Spain).

8.2 Estimated delivery times
Bespoke / Custom-made: typical production lead time is 8–14 weeks, depending on model and complexity, plus shipping time.
Ready-to-Wear: typical delivery is 12–16 working days after confirmation, subject to availability and seasonal peaks.
These timeframes are indicative and may be affected by peak periods (including Christmas/New Year in Portugal), customs processing, or events outside our control.

8.3 Delivery and ownership
Risk transfers to you upon delivery. Ownership transfers once full payment has been received and the goods have been dispatched/delivered (as applicable).

8.4 Damaged parcels and transit issues
If your parcel arrives with visible damage, you must notify the Seller immediately upon receipt and provide clear photos of:
the outer packaging before opening,
the shipping label,
the internal packaging and the product (if impacted).
This allows the Seller to open a carrier investigation within required time limits.

9.

RETURNS AND EXCHANGES (CELERIS INTERNATIONAL SALES ONLY)

This clause applies only to purchases where the Seller is Aprender & Melhorar Unipessoal Lda (Celeris International Sales).
If you purchased through an Official Representative or other authorised local seller, their return/exchange policy applies.

9.1 What can be returned
Ready-to-Wear products, accessories, and care items may be returned within 28 days of delivery, provided they are:
unused and unmarked,
returned in original packaging,
with all Celeris labels and brand identifiers attached.

9.2 What cannot be returned
Returns are not accepted for:
Bespoke / Custom-made products,
products that show wear, marks, misuse, or missing packaging/labels,
any items excluded by hygiene/usage considerations where applicable.

9.3 Exchanges
Exchanges may be offered under the Seller’s process, typically limited to:
one exchange per order,
the same product in another size and the same colour (or another available colour of the same product, where offered).
Depending on destination and case type, additional transport costs may apply.

9.4 Refunds
Refunds are issued to the original payment method after return inspection and acceptance, within standard banking timelines.

10.

BESPOKE / CUSTOM-MADE ORDERS – NO RETURNS

Because bespoke/custom products are created specifically for you and cannot be resold as standard stock, they are not eligible for returns or cooling-off cancellations once confirmed for production.

11.

WARRANTY AND AFTERCARE (DIRECT SALES)

11.1 Warranty period
Celeris products include a 90-day warranty from the date of delivery for genuine manufacturing defects that typically appear early.
Covered may include: early zipper failure due to defect, early hardware failure, and stitching faults present from new. Wear and tear, lack of maintenance, misuse, and natural creasing/marking are not covered.

11.2 Claims process
Warranty requests require clear photos and order details for evaluation. Where the product was purchased via an Official Representative, the request must be handled through that Seller.

11.3 Repairs after warranty
Celeris offers repair and restoration services. Availability and process depend on the Seller and market structure; in Official Representative markets, the representative coordinates the process.

12.

GIFT VOUCHERS

Where offered, gift vouchers are issued by the Seller and are redeemable only with the issuing Seller (Celeris International Sales or the specific Official Representative who sold the voucher). Voucher rules, expiry and redemption method are provided at the time of purchase.

13.

LIMITATION OF LIABILITY

Nothing in these Terms limits liability where it would be unlawful to do so (including for fraud or gross negligence where applicable).
Products are sold for personal use. The Seller is not liable for business losses, resale losses, or indirect damages.

14.

GOVERNING LAW

Where the Seller is Aprender & Melhorar Unipessoal Lda, these Terms are governed by Portuguese law, and disputes are subject to the jurisdiction of the competent courts in Portugal, without prejudice to mandatory consumer protections that may apply in your country of residence.

15.

PURCHASES THROUGH OFFICIAL REPRESENTATIVES AND LOCAL SELLERS

Where your Seller is an Official Representative (or a local authorised Seller), your contract is governed by that Seller’s Terms & Conditions of Sale, including their policies on returns, exchanges, warranties, invoicing, and shipping. Celeris provides brand guidance and production expertise, but the local Seller is responsible for the sale relationship.
